Kelso: The ESOP became part of retirement law in the US largely by accident because that happened to be the legislative train that was leaving the station. Basically what it says is a company can set up a trust and it can either have the trust borrow money to purchase shares from an existing owner or new shares. In the UK, they have a similar approach to us but there you can not pay any tax at all if you sell to an employee ownership trust.
