What's the Structure of the Acquisition?
In the initial LOI negotiation, I wanted to avoid a stock purchase because it was what I was talking about for all these additional liability reasons. But once the seller, they made up their mind that this is what they wanted. Again, I thought it was too good of a business not to buy just for the sake of executing an asset purchase versus a stock purchase.
