Is There a Breakup Fee?
There's often a breakup fee like you talked about. In those, there's some sections of the document that are binding. Nobody ever pays a whole breakup fee that gets negotiated again later because each party says, I'm not paying you a breakup fee if I find something ugly and diligence. That's a good reason for me to go away. And so breakup fees, I find would be very cumbersome if it's the only way to get the entrepreneur or seller off the block and get moving.
