Do You Have a Live L.O.I?
I personally prefer to walk people through it live and the reason is number one, legal language is hard to digest. If you walk them through it live, you can tie a string back to the things they've said. The other thing I hate to say this but you sometimes have business people who really, if they've never done M&A before, don't understand some of the legal structures. You don't want to leave it to them and their lawyers to sort it out because you don't know who's talking to them.
