Is Your L.O.I. Good?
Step seven's figure out what makes this L.O.I. happy, and then you have to draft the L.o.I. You'll have to spend more time cycling with your lawyer to get something that reflects your business goals but doesn't create some kind of unanticipated liability. The last thing I'd say is even as you're sliding the L. O.I. across the table, I think messaging is really important because you want to maintain this tone of trust and honorability.
