What aspects or terms in a purchase agreement often kill deals?

Many deals are not killed by aspects or terms within the purchase agreement itself, but by the things that are not covered in the initial letter of intent (L.O.I.). For example, if important details like working capital adjustments or the purchase of the business debt-free cash-free are not addressed in the L.O.I., they may suddenly appear in the purchase agreement, causing complications and potentially killing the deal. This not only affects the economics of the deal but also damages the relationship between the parties involved.
