Private equity investors are all incredibly sabby and sabbiant in competing with strategic buyers. They will absolutely buy a company when they have no value to add, as long as they can do something financial engineering wise that the strategic buyer can't can't do. The abusive aspect of the lavetory cap is that you might leave somebody else holding the bag. But paradoxically, i think that the whisk of bankruptcy is not a bag, it's a feature.
