The Four Factors of the Fair Use Test
The district court sided with the Kagan chief version of this, which is it was transformative. The work can reasonably be perceived to have transformed prints from a vulnerable, uncomfortable person to an iconic, larger than life figure such that each Prince series work is immediately recognizable as a warhol rather than as a photograph of Prince. But I don't particularly see a way around it because otherwise you're getting to this like purpose and character being an art criticism class for judges.
