Why Do Firms Consider ESOPs?

There are a little over 7,000 ESOPs in the US today. Covers about 10 million employees, well over a trillion dollars in assets. When a company becomes an ESOP, they don't always stay at ESOP. Five, 10 years later, if they sell to somebody else, all the employees get the benefit much more quickly and the company goes back to different structure.
