The deal is not expected to close until july of 20 23. The aset purchase agreement contains, as a liquidated damages clause, a three billion dollar penalty from acdivision if the transaction does not close. So and that reflects the fact that it might not close because the department of justice and or the f t c might say, no, you can't do this.
