Under the policy, we had to maintain our employment with Herro for at least two years in order to receive any shares that vested. This meant that Herro stock achieving the lowest target level would cause the vesting of a fraction of the number of shares that would vest if it achieved the highest target level. The bottom line is that when our stockholders quote unquote, one, we would win. In other words, management and shareholder alignment.
