The independent sponsor puts the deal together, earns money at close. They get some of the equity of the business. And then in terms of governance, in terms of operations, that's a little murkier. Usually either the existing seller continues operating or like you said, the independent sponsors bringing a Rolodex and putting into place a new manager or management.
