The Board of Directors' Motion to Amend the Restated Certificate of Incorporation
The nominations are ready to be acted upon. If there are any shareholders voting in person, they should now mark their ballots on the election of directors. Malcolm G. Chase III, Charles T. Munger and Walter Scott Jr. have been elected as directors. The proposed amendment would add a provision to the Restated Certificate of Incorporation authorizing the Board of Directors to issue up to 50 million shares of a new Class B common stock.
