A lot of times you have companies that are really focused on all the things I'm generating revenue, growing the business. A public research institution or university often has ownership or some claim to the intellectual property that was developed using their funds. This is obviously a huge challenge for the regulatory issues but reality is that only impacts a rather small fraction of the total M&A deals. We're seeing this more often again than you might think and it surprises me sometimes that some by side clients forget to check on these types of things.
