How to Delegate Governance to Your Board of Directors
Delegation of authorities down to staff is one of those heuristics for spotting sophisticated asset owners, long-term investors. You don't want the board meeting managers, it's terrible use of governance time. The representative components can actually do a great job if they get the delegations right. Those are the kinds of things that governance really empower.
