The Benefits of a Share Purchase
From a risk point of viewing, purchases will prefer an asset purchase. Sellers will generally speaking prefer a share sale. And the reason for that is tax. The seller personally receives the money for the shares that he owns in the company and provides using the shares for two years. So whichever way you look at it, an asset sale for a seller involves a lot more tax, time and cost.
