Is the Mortgage for the Benefit of a Third Party?
The banks want to see you say that there's no third party interest in this property. So it puts you in a conflict of interest if you're representing the bank and the two investors. A bear trust agreement is a fantastic tax planning device or process but when it comes to buying property with mortgages, it gets a little dicey. The mortgage is not for their benefit. They're simply the beneficiary of income generated.
