How to Avoid Overcomplicating Your Earn-Outs
The seller's almost always looking to leave on those at any kind of earn-out they feel they have little control over, unlike the scenarios code you was setting out. The risk component is that multiple and the return is ultimately that e-bittel that you're using to determine the value. You don't see that necessarily in the middle market or upper middle market space because you just have more sophisticated advisors who are coming up with these interesting strategies.
