America's corporate code is not written in Washington, D.C. by either the federal government or Congress. The debates surrounding it are not open to the public or the media. Instead, it is written every year by a group of 27 unelected lawyers who meet in private over several months in Wilmington, Delaware before sending their recommendations to the state legislature for change. What is written in Delaware is applied across the United States and beyond.
