The Texas Two-Step Mechanism Is What Bankruptcy's Appealing
The only reason you would go through this mechanism is to create some division between two parts of your company. You know all the exposure for litigation is in one entity, and then you put that entity into bankruptcy. One of the benefits of bankruptcy is that it pulls everyone without any real opt-out potential into bankruptcy court.
