Mining Out of Band Payments - What's the Deal?

I thought originally that they had simply mined a block with suboptimal fees because they don't advertise that they do out of band payments. Like how do you account for that? Like if you do a one off out of band payment, like how's that auditable? How are you expressing that to your clients? I want to hold everybody accountable here. It's what we need.
