The average shareholder can neither propose candidates nor vote against board sponsored candidates. New directors do not need to win a majority of shareholders votes to be elected. Shareholders can write resolutions, but these resolutions are not legally binding. The company does not have to vote on them or even publish their contents to other shareholders.
