The Importance of a Business Relationship in Investment Contracts
The focus on contract is misleading because the courts can look to Joyner and say well there could be an implied contract. Every single investment contract that I've looked at which is over 400 has contained a business relationship between the buyer and the seller. So in every case there was a written or implied contract. We need to change the narrative to say that there needs to be a business relationship.
