Is the Corporate Government Government Structure Corrupt?

Dean baker: We transfer tens of billions of dollars upward to ceo and other top corporate executives through the corrupt corporate government structure that we have instituted. A recent study surveyed corporate directors and found that the vast majority did not even see it as their job to contain ceo. How difficult would it be to reform this corporate government structure? Is there a huge cultural obstacle to reform? Or is reform simply the matter of closing a loophole, or a few minor loopholes that would have a major impact?
