Is a Merger Going to Be Anti-Competitive?
Boswell: Even if a merger is going to be anti-competitive, our laws say that's fine as long as it's not quote-unquote substantial. We have an efficiencies defense that says that a merger can substantially lessen competition. It can get through if the parties can show that they're going to have what are referred to as efficiencies. If they can establish that all those efficiencies bundled together outweigh the anti-competitive effects, then the merger can go ahead.
