How Do You Force Maseur Clauses?
Force monsieur clause basically says, if there's some like act of god that's happening, i'm excused from the requirement to perform the contract. In a private emandeal between a single buyer and a single seller, those are usually not relevant. What the question is sort of getting at is in a public company context. So you're buying a public company, so then you have the board of directors of that public company that are feduciaries for the shareholders. They are signing on to a deal, but as a matter of a delaware or whatever feduciary law youare dealing with, usually they will have to have some sort of feduciary out.
