How to Structure Your Earnout Goals

There are some provisions in the contract that give us a little bit of certainty that maybe in the future we will be able to sell like it wasn't. We have put a lot of conversations with the acquirer about how exactly to structure our earnout because of course there's always a risk also whether we are able to get down out and it's not always dependent on us. Our earnout was very much tied to our team staying on board as well as like us building the technology and making it available to some of the users. Those are the revenue component but at least we had like a few components that allowed us to have some things completely in our hands and where we had to pull power
