What Are the Characteristics of a Highly Functioning Board?

The moment's in time that the board actually makes a difference is when a company is in distress, and when there's transactional activity happening. As an individual board member, I have a mantra, which is, as long as I support the CEO, my job is to do whatever I can do to help her be successful. By the way, highly functioning boards have lots of debate, plenty of arguments, lots of disagreement but ultimately, it's in the search of an answer.
