The SBA's New Earn Out Rule
You can't really get around the earn out rule. It'll get flagged somewhere by a bank. Most banks wouldn't go for it in practice. What about rent on on real estate lease back from the sellers? Because I know like it's sometimes hard to pin down what is market rate rent. Is there maybe a little bit more wiggle room there or do you get slapped on the wrist for that too?
